MB Bancorp Inc. Announces Completion of $30 Million Subordinated Notes Offering

WALL TOWNSHIP, NJ (February 2, 2021) – MB Bancorp, Inc. (“the “Company”), the holding company for Manasquan Bank (the “Bank”), announced today the completion of a private placement of $30 million aggregate principal amount of 3.50% Fixed-to-Floating Rate Subordinated Notes due 2031 (the “Subordinated Notes”) to certain qualified institutional buyers and accredited investors. The Subordinated Notes bear a fixed interest rate of 3.50% per annum for the first five years and will reset quarterly thereafter to the then current Secured Overnight Financing Rate (SOFR) plus 319.5 basis points.
The Company intends to use the net proceeds from the offering for general corporate purposes.The notes are intended to qualify as Tier 2 capital for the Company for regulatory purposes and the portion that the Company contributes to the Bank will qualify as Tier 1 capital for the Bank.
